Job description:

  • Preparation of corporate documents (contract of association, corporate agreements, decisions of management bodies, contracts of sale and purchase of corporate rights, acts of acceptance and transfer of shares, etc.);
  • Advising clients on a wide range of general corporate issues, including corporate governance and corporate finance, general contracting, investment and regulatory matters;
  • Business and investment structuring consultancy;
  • Conducting legal due diligence;
  • Participation in M&A transactions at all stages (assistance in preparation and reconciliation of transaction documents, full support for closing transactions);
  • Preparation of a complete package of documents for the state registration of changes to the constituent documents and other registration actions for a legal entity;
  • Preparation of documents for opening accounts with banks, obtaining loans, performing separate currency transactions.

Key requirements:

  • Higher legal education;
  • Having an international LL.M law degree or similar will be an advantage;
  • Working experience of 1-3 years in a similar position or less in large law firms, Big 4, investment companies;
  • Experience in drafting corporate documents (charters, corporate agreements, decisions of governing bodies, etc.) and supporting agreements under Ukrainian law. The experience of drafting and supporting agreements under the law of England and Wales will be an advantage;
  • Legal due diligence experience;
  • High level of knowledge of corporate law and law enforcement practice;
  • Experience in collecting and preparing documents for approval by the Antimonopoly Committee of Ukraine to conduct concentrations/concerted actions (preferably);
  • Analytical skills, broad perspective on issues and impact forecasting;
  • Strong communication skills;
  • Proficiency skills in English at Advanced level (C1, IELTS not lower than 7) – ability to clearly write and speak;
  • Good knowledge of computer programs: Word, Excel, PowerPoint, Outlook.

Job description:

As Junior Associate within Tax Practice, you will work in a team under the supervision of Senior Associates and Associates and you will be primarily focused on the research, tax advisory work and tax dispute resolution engagements.
Based on the experience that you will have acquired, you will gradually take more overall responsibility on the clients’ engagements.

Key requirements:

  • University Degree in Law (economic background and/or LLM is an advantage)
  • 1-3 years of work experience
  • Profound knowledge of Tax Code of Ukraine, Code of Administrative Procedure and relevant subordinate legislation
  • Knowledge of accounting and tax laws of foreign jurisdictions is an advantage
  • Proficient computer skills
  • Fluency and grammatical correctness in Ukrainian and Russian
  • Fluency in English is an advantage
  • Able to understand and analyse sophisticated fact patterns and legal concepts
